Synapser Terms of Service
Welcome to Synapser. These Terms of Service ("Terms") constitute a legally binding agreement between you and Synapser S.R.L. ("Synapser," "we," "us," or "our") and govern your access to and use of the Synapser iOS application (the "App," and together with its related features and services, the "Services").
IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY. BY CLICKING "I ACCEPT", DOWNLOADING, INSTALLING, ACCESSING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND AGREE TO BE BOUND BY THEM. YOU ALSO ACKNOWLEDGE THAT YOU HAVE READ OUR PRIVACY POLICY, WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, OR IF YOU ARE NOT ELIGIBLE TO USE THE APP, YOU MUST NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE APP.
IF YOU START A FREE TRIAL OR SUBSCRIBE TO A PAID SUBSCRIPTION, YOU WILL BE CHARGED UNLESS YOU CANCEL BEFORE THE END OF THE APPLICABLE TRIAL OR BILLING PERIOD IN ACCORDANCE WITH SECTION 7 BELOW. AFTER THE FREE TRIAL ENDS, THE SUBSCRIPTION AUTOMATICALLY CONVERTS INTO A PAID SUBSCRIPTION UNLESS CANCELED IN TIME, AND PAID SUBSCRIPTIONS AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS OF THE SAME LENGTH AT THE PRICE IN EFFECT AT THE TIME OF RENEWAL, AS DISPLAYED THROUGH THE APP STORE.
1. About Synapser
Synapser is a mobile productivity App that brings together email, calendar, notes, and tasks in one place, to help users manage their information, schedules, and commitments more easily. Certain features may also include AI-powered suggestions intended to help users organize and act on their information more effectively.
Synapser is a productivity tool, not a legal archiving, compliance retention, or records-management service. Users remain responsible for any legal, regulatory, retention, recordkeeping, or compliance obligations applicable to their own communications, documents, and records.
The App is provided by Synapser S.R.L., a company incorporated under the laws of Italy (VAT 14684980965), with registered office at Via Timavo 34, 20124 Milan, Italy.
2. Eligibility
You must be at least 16 years old to create an account or use the App. If applicable law requires you to be older to use the App without parental or guardian authorization, that higher minimum age applies. By downloading, installing, creating an account for, accessing, or using the App, you confirm that you meet the applicable minimum age requirement and that your use of the App complies with applicable law. We do not knowingly allow individuals below the applicable minimum age to create an account or use the App.
3. The App and Permitted Use
3.1. Permitted Use. Provided that you comply with these Terms, you may download, install, access, and use the App and related features on a limited, revocable, non-exclusive, non-transferable, and non-sublicensable basis, solely for lawful purposes. The App is licensed, not sold, to you. We may suspend or terminate your right to use it if you do not comply with these Terms.
3.2. The App. Depending on your connected accounts, permissions, settings, and your subscription status, the App may include multi-provider email, calendar, and task management, note creation and import, unified search, notifications, and AI Suggestions. Some parts of the App rely on connected third-party accounts, device permissions, internet connectivity, operating system capabilities, and the continued availability of external providers. As a result, certain features may vary by user, may not always be available, or may change over time. Synapser is currently made available as a native iPhone App through the Apple App Store. To use the App, you must have a compatible iPhone, a supported iOS version, and internet access. Your mobile network provider may charge you for data usage, and you are solely responsible for any such charges.
4. Registration and Account Security
4.1 Account Creation and Sign-In. To access the App, you must create an account or sign in through a third-party identity provider, such as Apple, Google, or Microsoft. When you do so, the relevant provider may share certain account information with us, such as your name, email address (including, where applicable, an Apple private relay email address), profile image, and a unique account identifier. You are responsible for ensuring that the information associated with your account is accurate, complete, and kept up to date.
4.2. Account Information and Security. Your account is personal to you. You may not share your account with any other person or access the App using another person's account without authorization. Because access to the App is provided through third-party sign-in providers, you are responsible for maintaining the security of the sign-in method linked to your account and of any device used to access the App. You are responsible for activity you carry out or authorize through your account, and for unauthorized activity to the extent caused by your breach of these Terms. If you become aware of or suspect any unauthorized access to your account or any other security issue, you must notify us promptly at [email protected].
5. Connected Accounts and Third-Party Services
5.1. Connected Accounts. The App allows you to connect and use certain third-party accounts and services, including services provided by Google, Microsoft, Apple, IMAP-based email providers (including iCloud Mail), and, where available, supported third-party notes providers.
By connecting a third-party account, you authorize Synapser to access and process the data made available through that account as necessary to provide the App and in accordance with these Terms and our Privacy Policy. You may disconnect a third-party account at any time through the available settings.
5.2. Third-Party Dependencies. Some features of the App depend on those third-party services and may rely on their APIs, permissions, authentication methods, system dialogs, technical standards, and continued availability. Synapser does not control those third-party services and, to the extent permitted by applicable law, is not responsible for any interruption, delay, suspension, unavailability, API change, policy change, error, or other issue that arises from those services and is beyond Synapser’s reasonable control, except to the extent that Synapser’s own acts or omissions contributed to the issue. Your use of any third-party service may also be subject to the terms, conditions, and privacy policies of the relevant third party.
5.3. Authorization to Connect Accounts and Third-Party Content. You may connect to the Services only accounts that you are authorized to access and connect. By connecting an account or otherwise making content or information available through the Services, you represent and warrant that you have all rights, permissions, and authorizations necessary to do so, including any authorization required by your employer or other organization.
If the account or information you make available through the Services includes Personal Data relating to other individuals, you represent and warrant that you are authorized to make that information available to Synapser. You are responsible for ensuring that your use of the Services and any connected account complies with applicable law and with any contractual or organizational obligations applicable to you.
6. AI Features
6.1. AI Suggestions. The App may include features powered by artificial intelligence ("AI Features"). Depending on your subscription status and whether AI Features are enabled, these AI Features may analyze certain content associated with your use of the App, such as emails, calendar events, tasks, notes, and related contextual information, including relevant contact names and email addresses for identifying suggested event attendees, to generate AI Suggestions. Synapser may use third-party AI technologies, including Google Gemini Enterprise Agent Platform and/or OpenAI API models, to generate AI Suggestions. Your content remains your User Content, subject to the rights granted to Synapser under these Terms.
6.2 Consent and Data Processing. Use of AI Features is optional and requires your explicit consent. You may withdraw your consent and disable AI Suggestions at any time through the available settings. Order tracking requires AI Suggestions and has a separate consent choice. During first-time onboarding, both features are preselected, but no consent is granted and no processing starts until you confirm with Enable Selected Features. You may change either selection before confirming, and each choice is recorded separately. Returning to onboarding preserves your recorded choices. Turning on the AI Suggestions switch alone does not enable order tracking, turning off AI Suggestions also turns off order tracking, and turning off order tracking does not change AI Suggestions. By enabling or using AI Features, you authorize Synapser to access, transmit, process, and otherwise use the content and data reasonably necessary to provide those features, in accordance with these Terms and our Privacy Policy.
6.3 AI Disclaimer and Usage Restrictions. AI Suggestions are produced through automated processes and may be inaccurate, incomplete, delayed, unavailable, or not appropriate for your particular situation. They do not constitute legal, tax, financial, medical, or other professional advice. You remain responsible for reviewing and assessing any AI Suggestion before relying on it or taking action based on it. You may not use AI Features in any unlawful manner or in breach of any applicable usage restrictions.
6.4 AI Usage Limits. AI Features are subject to per-account usage limits to manage processing resources and maintain service availability. If a limit is reached, further AI processing may be temporarily restricted until the applicable limit resets. The amount of content that can be processed may vary with its size, complexity, and type. Changes to these limits remain subject to the service-change protections in Section 10.
6.5 Order Tracking. With your separate consent, Synapser uses the regular email AI processing to identify parcels and extract order information from connected email accounts. Carrier updates are obtained through Ship24 when a tracking number is available and the applicable usage allowance permits. The feature supports carriers worldwide, but coverage, available details and update timing depend on the merchant, carrier and tracking provider. A parcel may appear before dispatch once carrier tracking is available; a completed order leaves the active dashboard 24 hours after the final delivery is confirmed, using the first confirmed observation where the source provides no authoritative delivery time. Information may be incomplete, delayed or inaccurate, and delivery estimates are not guarantees. You should review the source email or carrier information when a delivery requires action. Synapser does not sell, transport or deliver your purchases. You can turn order tracking off at any time in the App's AI settings.
7. Subscriptions and Payments
7.1 Subscriptions and Billing. Access to Synapser requires an active subscription. Available subscription plans, billing periods, included features, and any other applicable terms are presented in the App before you complete your purchase. Subscriptions purchased through the App on iPhone are processed through Apple's In-App Purchase system. Apple processes the payment and manages billing and subscription administration through your Apple Account, subject to Apple's applicable terms, conditions, and policies. Before completing a purchase, you should review the subscription details presented to you, including the applicable price, billing period, renewal terms, and any taxes or other charges displayed by Apple.
7.2 Free Trials and Promotional Offers. Synapser may offer free trials, introductory offers, promotional pricing, or other subscription offers from time to time. If an offer is available to you, its duration, eligibility requirements, and other material terms will be presented before you start the trial or complete the purchase. At the end of a free trial or introductory offer, your subscription will automatically renew at the price and billing period disclosed when you accepted the offer, unless you cancel before the applicable renewal date. Eligibility for free trials and other offers may be determined by Apple and may vary depending on your Apple Account and previous subscriptions or offers you have used.
7.3 Renewals and Cancellation. Paid subscriptions automatically renew at the end of each billing period unless canceled through your Apple Account. To avoid being charged for the next subscription period, cancel through your Apple Account at least 24 hours before your free trial or current subscription period ends. If you cancel your subscription, it will remain active until the end of your current trial or paid subscription period. If Apple provides a billing grace period, your access may continue until that period expires, unless it ends earlier due to a refund or revocation by Apple. After your subscription access ends, Synapser's core functionality will no longer be available unless you renew your subscription.
7.4 Effects of Subscription Ending. When your subscription access ends, Synapser will stop provider synchronization, AI processing, service push notifications, and other functionality that requires an active subscription. Any pending actions that require an active subscription, including scheduled emails, snoozes, and reminders, will be canceled and will not be automatically restored if you later re-subscribe. Limited access will remain available so that you can manage your subscription, restore purchases, export or delete your data, disconnect providers, sign out, manage consent settings, review the Privacy Policy and Terms of Service, and contact support.
7.5 Data Retention After Subscription Ends. After your subscription access ends, Synapser will retain your account data for 90 days so that you can restore full access by re-subscribing. During this period, you may access the limited account and data-management features available in the App, including exporting or deleting your data. If you do not re-subscribe within 90 days, Synapser will delete your retained account data in accordance with our Privacy Policy, except where we are required or permitted by applicable law to retain certain information for longer. Before the retention period expires, we may send you essential service notices about the upcoming deletion of your data.
7.6 Purchase Ownership and Restore. An Apple subscription may be linked to only one active Synapser account at a time. Restore Purchases allows you to restore an eligible subscription associated with your Apple Account. It does not automatically transfer a subscription between active Synapser accounts. If the previously linked Synapser account has been deleted, an eligible subscription may be restored and linked to a new Synapser account.
7.7 Subscription Price Changes. Subscription prices may change from time to time. Apple will provide any required advance notice and, where applicable, request your consent to a price increase in accordance with its rules and applicable law. If required consent is not provided, your subscription may expire at the end of the applicable billing period.
7.8 Refunds. Payments for subscriptions purchased through the App are processed by Apple. Refund requests for those purchases must be submitted to Apple, which handles them in accordance with its applicable refund policies. Nothing in these Terms affects any mandatory rights you may have under applicable consumer law.
8. Ownership and Content Rights
8.1 Synapser's Rights in the App. The App, including its software, design, text, graphics, trademarks, logos, branding, and other materials made available by Synapser, is owned by or licensed to Synapser and is protected by applicable intellectual property laws. Except for the limited right to use the App expressly granted in these Terms, no right, title, or interest in the App or any Synapser intellectual property is transferred to you.
8.2 User Content and Your Rights in Content. You retain ownership of your User Content (the emails, calendar data, tasks, notes, files, and other content that you submit, create, connect, sync, upload, import, or otherwise make available through the App). In order for Synapser to provide the App, you grant Synapser a limited, non-exclusive, worldwide license to host, store, copy, transmit, process, synchronize, organize, index, display, and otherwise use your User Content solely as necessary to operate, provide, maintain, secure, and support the App and the features you choose to use, in accordance with these Terms and our Privacy Policy. This license continues only for as long as your User Content remains in the App. Nothing in these Terms transfers ownership of your User Content to Synapser.
8.3 Support Communications and Feedback. If you contact Synapser for support, Synapser may use the information you provide to respond, troubleshoot, and improve the App. If you provide Feedback relating to the App, you agree that Synapser may use it for any purpose related to the App, without restriction and without any obligation to compensate you.
8.4 Third-Party Trademarks. Apple, the Apple logo, iCloud, Apple Maps, Apple Notes and Reminders are trademarks of Apple Inc. Google, Gmail, Google Calendar, Google Tasks, Google Keep, Google Maps and Waze are trademarks of Google LLC. Microsoft, Outlook, OneNote and Microsoft To Do are trademarks of the Microsoft group of companies. Synapser is an independent App and is not endorsed by or affiliated with Apple, Google or Microsoft.
9. Acceptable Use and Prohibited Conduct
You may use the App only in accordance with these Terms and applicable law. You must not, and must not attempt to: use the App for unlawful, fraudulent, deceptive, or abusive purposes; access any account, data, or system without authorization; bypass security, authentication, or access controls; reverse engineer, decompile, disassemble, scrape, or extract the App except where permitted by law; interfere with or disrupt the App, including by introducing malware; infringe the rights of Synapser or any third party; send spam, impersonate, or harass; use automated tools, bots, or scripts in an unauthorized manner; use AI Features to generate illegal or harmful content; or probe, scan, or benchmark the App without authorization.
Synapser may investigate suspected violations and may suspend, restrict, or terminate access to the App, including AI Features and connected account access, where reasonably necessary to protect the App, Synapser, users, or third parties.
Where we restrict access to or remove User Content, or restrict, suspend, or terminate access to the Services or an account, because we reasonably determine that User Content is illegal or violates these Terms, we will provide the affected user with the reasons for our decision and information about available means of redress where required by applicable law.
If you believe that specific User Content made available through the Services is illegal, you can report it through Settings or the menu of a shared note. The in-App form sends your report through your connected email account.
Your report should include sufficient information to identify and locate the content, a substantiated explanation of why you believe it is illegal, and a statement confirming your good-faith belief that the information and allegations in your report are accurate and complete. It should also include your name and email address, except where applicable law permits these details to be omitted.
Our authorized staff review reports diligently and objectively. If you provide electronic contact details, we will notify you of our decision without undue delay after it is made and provide information about the available means of redress. Submitting a report does not automatically result in removal of User Content or restrictions on an account. We process and retain Personal Data contained in reports and related correspondence in accordance with our Privacy Policy.
10. Availability, Changes, and Service Limitations
Attachment storage. Each Synapser account includes 10 GiB (10,737,418,240 bytes) of retained attachment storage, shared across notes, tasks, associated thumbnails, and other features that retain user attachments. Attachments added to shared notes count toward the storage used by the account that adds them. Temporary email and Microsoft calendar attachment uploads use a separate allowance of 1 GiB (1,073,741,824 bytes) and 400 files per account, including attachments waiting in scheduled or delayed sends. This temporary allowance is separate from retained attachment storage, so filling retained storage alone does not prevent sending email. Synapser releases temporary email copies after verifying a copy in your provider's draft or sent message, unless another queued send still needs them. Files awaiting upload completion or deletion count until cleanup finishes. Deleted attachment files remain recoverable in cloud storage for seven days. A shared 5 GiB recovery allowance is excluded from normal storage usage, so deletion frees space immediately within that allowance. Recovery bytes above 5 GiB reduce the capacity available for new uploads; repeated upload and deletion may also restrict temporary email staging. Recovery bytes stop counting when their cloud recovery period expires. These limits never prevent you from deleting attachments. Separate file-size and per-message or per-item attachment limits apply, and email providers may impose additional limits. Emails can be scheduled up to 365 days ahead. Uploads or imports that would exceed an allowance will be refused until sufficient space is available. You can free space by deleting existing attachments. Moving a note to Trash does not free attachment storage. Reaching an allowance does not itself cause existing attachments to be deleted. Any changes to these allowances remain subject to the service-change protections in this Section.
Synapser may modify, update, suspend, discontinue, or restrict all or any part of the App from time to time for valid operational, technical, legal, security, provider-dependency, or business reasons. A modification will not impose an additional charge unless you separately agree to that charge through the applicable purchase process. The availability and performance of certain features may depend on factors outside Synapser's control, including third-party providers, APIs, the Apple App Store, iOS, device permissions, and internet connectivity.
Synapser does not guarantee that the App or the Services will always be available, uninterrupted, secure, timely, or error-free. We will explain service modifications clearly. If a modification beyond what is necessary to maintain conformity negatively affects your access to or use of the paid digital service in more than a minor way, we will inform you reasonably in advance on a durable medium of the modification, its timing, and your right to terminate the affected contract free of charge within 30 days of receiving that information or of the modification taking effect, whichever is later. That termination right does not apply where we allow you to keep the unmodified, conforming service without additional cost. Nothing in these Terms limits any stronger mandatory consumer right.
Synapser will not be responsible for a delay or failure to perform its obligations to the extent caused by events beyond its reasonable control, such as natural disasters, widespread telecommunications or infrastructure failures, acts of government, war, civil unrest, or similar events. We will use reasonable efforts to mitigate the effects of such events and resume the affected Services where reasonably practicable. Nothing in this paragraph limits any mandatory rights you may have under applicable law.
11. Account Suspension, Closure, and Data Deletion
11.1. User-Initiated Closure or Deletion. You may close your account or request deletion of your account and associated data by using the relevant functionality in the App or by contacting us at [email protected]. Deleting your Synapser account does not cancel an Apple subscription. If another renewal charge remains possible, before account deletion the App presents Apple's native subscription-management action and warns that billing may continue until you cancel through Apple. If you explicitly acknowledge that consequence and delete anyway, Synapser immediately deactivates and starts deleting the account, cancels pending scheduled actions, and releases the subscription-to-account link; Apple may continue renewing the subscription until you separately cancel it.
11.2. Suspension or Termination by Synapser. Synapser may suspend, restrict, or terminate your access to the App if it reasonably believes that you have violated these Terms; your use creates legal, regulatory, security, or operational risk; your account is being used for fraud, abuse, or unauthorized activity; or such action is otherwise reasonably necessary to protect Synapser, other users, or third parties. Any suspension or termination subject to applicable notice or explanation requirements will be handled in accordance with Section 9 and applicable law.
11.3. Effect of Suspension, Termination, Deletion, or Abandonment. If your account is closed, deleted, suspended, or terminated, access to some or all parts of the Services may stop immediately. Following account deletion, data is deleted in accordance with our Privacy Policy and technical deletion and backup processes, subject only to limited lawful retention. Where your subscription access ends rather than your account being deleted, Sections 7.4 and 7.5 apply. If you have never started a Synapser trial or paid subscription, your account is deleted after 90 days without signing in to the App. Synapser sends transactional notices 30 and 1 day before deletion, and signing in again resets the 90-day inactivity period. Provisions that by their nature should survive remain in effect.
12. Privacy and Data Protection
Our collection, use, storage, and other processing of Personal Data in connection with the App is governed by our Privacy Policy, which forms an important part of your relationship with Synapser.
Where processing is based on your consent, you may withdraw that consent at any time through the available settings or other methods described in our Privacy Policy.
For more detailed information about the Personal Data we process, the purposes, the legal bases we rely on, retention periods, your rights, and the sub-processors involved, please review our Privacy Policy.
13. Disclaimers
To the fullest extent permitted by applicable law, the App is provided on an "as is" and "as available" basis. Synapser does not guarantee that the App will always be available, uninterrupted, error-free, secure, or suitable for your particular needs. AI Suggestions are provided solely as suggestions to support productivity and organization and are not guaranteed to be accurate, complete, reliable, or suitable for your purpose. Certain features depend on third-party providers, connected accounts, APIs, device permissions, and connectivity, whose availability and compatibility Synapser does not guarantee.
You should not rely on the App as your sole means of monitoring important deadlines, appointments, filings, payments, or other time-sensitive obligations, and the App is not intended for emergency or safety-critical use. Actions you take through Synapser may be synchronized with and modify content in your connected provider accounts and, depending on the provider and action, may not be reversible through Synapser. You are responsible for maintaining appropriate independent copies or backups of content that you need to preserve.
Nothing in these Terms excludes or limits any mandatory rights you may have under applicable law.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Synapser will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, opportunity, goodwill, User Content, or data, arising out of or relating to the App or these Terms.
To the fullest extent permitted by applicable law, Synapser's total aggregate liability arising out of or relating to the App or these Terms will not exceed the total amounts paid by you for your Synapser subscription during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Indemnity
To the extent permitted by applicable law, if a third party brings a claim against Synapser arising directly from your unlawful use of the App, your violation of applicable law, or your infringement of that third party's intellectual property, privacy, or other legal rights in connection with your use of the App or User Content, you agree to reimburse Synapser for the reasonably foreseeable losses, damages, and reasonable external legal costs directly resulting from that claim. Nothing in this Section requires you to indemnify Synapser for its own negligence, wilful misconduct, or breach of these Terms.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or your use of the App will be governed by the laws of Italy, excluding its conflict of laws rules.
If you use the App for business or professional purposes, the courts of Milan, Italy will have exclusive jurisdiction. If you are a consumer, the choice of Italian law does not affect any mandatory protections available to you under the law of your country of habitual residence or your rights under mandatory rules on jurisdiction.
17. Apple App Store Terms
Because the App is made available only through Apple's App Store, you acknowledge that these Terms are between you and Synapser S.R.L., and not with Apple Inc. ("Apple"). Synapser, and not Apple, is responsible for the App and its content, except to the extent otherwise required by law.
Apple is not responsible for providing maintenance or support for the App. If the App does not conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty responsibility. Apple is not responsible for addressing claims relating to the App, including product-liability, legal/regulatory compliance, or consumer-protection claims. If a third party claims that the App infringes its intellectual property rights, Synapser, and not Apple, will be responsible for that claim to the extent required by these Terms and applicable law.
Apple controls In-App Purchase billing, subscription cancellation and management, refund handling, and the notice and consent process for subscription price changes. Apple and its subsidiaries are third-party beneficiaries of this Section and may enforce it against you. You represent that you are not located in, or a resident of, any country or territory subject to applicable trade restrictions, and that you are not on any government list of prohibited or restricted parties.
18. Changes to These Terms
You explicitly accept the Terms in effect when you first create your account. Synapser records that initial version and acceptance date and does not overwrite them when these Terms are later updated.
Synapser may update these Terms from time to time for a valid reason, including changes to the Services, law, security requirements, third-party dependencies, or our business operations. We will post the updated version on our website and in the App and update the "Last Updated" date at the top of these Terms. For a material change, we will notify you directly by email or through the App before it takes effect. If the change does not require separate affirmative acceptance under applicable law, continuing to use the App after the effective date constitutes agreement to the revised Terms.
Where applicable law requires affirmative acceptance, or requires advance notice on a durable medium and a right to terminate because a change negatively affects the paid digital service, the change will be handled through that legally required process before it binds you. A notice about these Terms or your continued use of the App does not mean that you consent to optional data processing. If we need your consent, we will ask you separately before we begin. You can refuse or withdraw your consent at any time.
19. Communications and Electronic Notices
By creating an account, accessing, or using the App, you agree that Synapser may send you communications electronically through the App or by email, where permitted by applicable law. These communications may include notices about your account, security, technical issues, support, updates, subscription-retention and account-deletion countdowns, and other operational, administrative, or legal matters.
You are responsible for keeping the email address shown in your User Profile accurate and up to date. To the extent permitted by applicable law, notices sent by Synapser to that email address will be deemed effective when sent, and will satisfy any legal requirement that such communications be in writing.
20. General Terms
You may not assign, transfer, delegate, or otherwise dispose of these Terms, or any of your rights or obligations under them, without Synapser's prior written consent. Any attempted assignment in violation of the foregoing will be null and void. Synapser may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
Any failure or delay by Synapser in exercising any right under these Terms will not operate as a waiver of that right. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect.
These Terms and our Privacy Policy, in each case as updated in accordance with their applicable change provisions and applicable law, constitute the entire agreement between you and Synapser regarding the Services and supersede any prior agreements or understandings between you and Synapser concerning the same subject matter. Nothing in this paragraph excludes or limits any rights, remedies, or protections that cannot be excluded or limited under applicable law.
